RCW MEDIA AND FILM FUND
OUR PURPOSE & VISION
Romulus Studios, Chipa Entertainment, and Wallner Media Group have launched the RCW Media and Film Fund, a blended, non-correlated, entertainment investment fund. The Fund makes short (3-5 months) to long term (18-36 months) loans across a diversified slate of individual film and television productions, direct equity investments including, but not limited to, productions produced by Wallner and/or Romulus and other special situation investments in line with the media and entertainment industry. The investments are cross-collateralized utilizing a portfolio approach of aggregating positions in 6 or more films annually, as well as diversification via equity and special situation investments. Investor returns are derived from interest earned on the senior secured loans and certain distribution revenues of each film, if available, whereby limited partners of the fund participate in the net profitability of each film’s foreign and domestic territorial rights, domestic box office, government subsidies, rebates, as well as ancillary market revenue.
SENIOR SECURED LOANS
Collateralized loan that is securitized against a completion guaranty, minimum guaranties from distributors, pre-sales of certain foreign territories, and the value of the unsold foreign and/or domestic territories forming the collateral for a GAP loan.
Can include a profit participation when investing in Romulus and/or Wallner productions.
STUDIO CO-FINANCING
This loan is made in conjunction with a major studio such as Paramount Pictures or Sony where capital is invested on a pari passu basis, and which may provide a greater rate of return than a senior secured loan or bridge financing.
BRIDGE LOANS
A loan made to a production prior to its primary loan facility closing with RCW or another recognized lender. This type of secured loan is against the value of the commitment of the senior lender and certain guarantors, who will take RCW out, or a commitment by RCW to make the senior loan. This investment is first money out prior to production or principal photography occurring.
SPECIAL SITUATIONS
Transactions that generally involve the combination of debt-like downside protection with the potential for equity-like upside participation in stressed, distressed and even-driven situations, where underlying assets are discounted due to illiquidity, market disruption, business cyclicality or an unsustainable capital structure

The Banker (2020)
